1. Agreement to Terms

Welcome to AIGENTICS LLC ("Company," "we," "our," or "us"). By accessing or using companions.one (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

IMPORTANT: THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION IN SECTION 16 THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

Age Verification: We reserve the right to request proof of age at any time. Failure to provide satisfactory proof may result in immediate account termination.

3. Service Description

AIGENTICS LLC provides a digital AI assistant simulation service that includes:

  • One (1) AI assistant simulation
  • Unlimited chat functionality with your AI assistant
  • One (1) feed providing third-person narration of your AI assistant's activities

Content Disclaimer: This Service is intended for simulation and entertainment purposes only. The AI assistants are NOT designed or intended to provide:

  • Professional therapy, counseling, or mental health services
  • Medical, legal, or financial advice
  • Provocative, sexual, or NSFW (Not Safe For Work) content
  • Replacement for real human relationships or professional services

If you are experiencing mental health concerns, please contact a licensed mental health professional.

4. Account Registration

4.1 Account Creation

To use the Service, you must:

  • Provide accurate and complete information (name and email address)
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

4.2 Account Restrictions

  • No Account Sharing: You may not share your account with others or allow others to access your account
  • One Account Per Person: You may not create multiple accounts without our express written permission
  • Account Responsibility: You are responsible for all activities that occur under your account

5. Subscription Plans and Billing

5.1 Subscription Plans

We offer the following subscription plans:

  • Weekly Subscription: Billed every 7 days
  • Monthly Subscription: Billed every 30 days
  • 3-Month Subscription: Billed every 90 days

All prices are listed in United States Dollars (USD).

5.2 Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method on file for the renewal amount.

5.3 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. We do not store or have access to your credit card information. Payment processing is subject to Stripe's Terms of Service (https://stripe.com/legal) and Privacy Policy (https://stripe.com/privacy).

5.4 Price Changes

We reserve the right to modify subscription prices at any time. Price changes will take effect at the start of your next billing cycle. We will provide at least 30 days' notice of any price increases via email.

5.5 Taxes

You are responsible for any applicable taxes, duties, or government fees associated with your subscription.

6. Free Trials

We do not currently offer free trials. All subscriptions require payment upon sign-up.

7. Cancellation Policy

7.1 How to Cancel

You may cancel your subscription at any time by:

  • Accessing your account settings and selecting "Cancel Subscription," or
  • Contacting us at support@companions.one

7.2 Effect of Cancellation

When you cancel:

  • Your subscription will remain active until the end of your current billing cycle
  • You will retain access to the Service until the end of the paid period
  • No further charges will be made after the current billing cycle ends
  • Your cancellation will NOT result in a prorated refund for the unused portion of your subscription period

8. Refund Policy

8.1 Eligibility for Refunds

Refunds are available ONLY if:

  • You have consumed fewer than 10,000 tokens total (combined chat and simulation usage)
  • This represents approximately 30 minutes of chat interaction plus 1 hour of simulation time
  • You request a refund within your current billing cycle

8.2 No Refund After Token Limit

Once you have consumed 10,000 or more tokens, you are NOT eligible for any refund, regardless of the reason.

8.3 Token Tracking

Token usage is tracked automatically by our system. We reserve the right to verify token consumption before processing any refund request.

8.4 How to Request a Refund

To request a refund:

  • Email support@companions.one with the subject line "Refund Request"
  • Include your account email address and reason for the refund request
  • We will review your token usage and respond within 1-2 business days

8.5 Refund Processing

If approved, refunds will be processed through Stripe and returned to your original payment method within 5-10 business days, depending on your financial institution.

Note: Stripe processing fees are non-refundable and will be deducted from your refund amount.

8.6 No Refunds for Violations

If your account is terminated due to violation of these Terms, you are NOT eligible for any refund.

9. Acceptable Use Policy

9.1 Permitted Use

You agree to use the Service only for lawful simulation and entertainment purposes in accordance with these Terms.

9.2 Prohibited Uses

You may NOT use the Service to:

Illegal Activities:

  • Engage in or promote any illegal activity
  • Violate any local, state, national, or international law
  • Violate export control laws or regulations

Harmful Content:

  • Create, share, or request content involving minors in any context
  • Generate content that promotes violence, terrorism, or harm to others
  • Create content involving harassment, bullying, threats, or intimidation
  • Generate hate speech or content that discriminates based on race, religion, gender, sexual orientation, disability, or other protected characteristics

Abuse of Service:

  • Attempt to manipulate, jailbreak, or circumvent the AI's content policies
  • Use the Service to generate spam or unsolicited commercial messages
  • Create content that impersonates real individuals without authorization
  • Attempt to reverse engineer, decompile, or extract the source code of the Service
  • Use automated tools, bots, or scripts to access the Service (except as expressly permitted)
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or our systems
  • Interfere with or disrupt the Service or servers/networks connected to the Service

Misuse of Purpose:

  • Use the Service for purposes other than simulation and entertainment
  • Use the Service to create provocative, sexual, or NSFW content
  • Attempt to use AI assistants as replacements for professional services (medical, legal, therapeutic, etc.)

Account Violations:

  • Share your account credentials with others
  • Create multiple accounts to circumvent restrictions or bans
  • Transfer or sell your account to another person

9.3 Monitoring and Enforcement

While your conversations are end-to-end encrypted and cannot be read by us, we reserve the right to:

  • Monitor usage patterns, token consumption, and metadata
  • Investigate reports of Terms violations
  • Use automated systems to detect abuse patterns
  • Suspend or terminate accounts that violate these Terms

10. Intellectual Property Rights

10.1 Our Intellectual Property

The Service, including all software, algorithms, AI models, user interface, design elements, trademarks, and logos, is owned by AIGENTICS LLC and protected by United States and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

10.2 User-Generated Content

Ownership: While you create conversations with AI assistants, all conversation data (including your inputs and AI responses) is owned by AIGENTICS LLC.

Encryption: Your conversations are encrypted end-to-end. We cannot access, read, or decrypt your conversation content. However, the encrypted data remains our property.

No License Granted: You do not receive any rights to use, reproduce, distribute, or create derivative works from the AI technology, models, or outputs outside of your personal use within the Service.

10.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without any obligation to compensate you.

11. Privacy and Data Security

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

Key Privacy Features:

  • End-to-end encryption of all AI conversations
  • We cannot access or read your encrypted conversations
  • Only your name and email address are stored in unencrypted form
  • See our Privacy Policy for complete details

12. Service Availability and Modifications

12.1 Service Uptime

We strive to maintain 98% uptime for the Service. However, we do not guarantee uninterrupted or error-free access.

Scheduled Maintenance: We may occasionally perform scheduled maintenance that temporarily interrupts the Service. We will attempt to provide advance notice when possible.

Unscheduled Downtime: The Service may experience unscheduled downtime due to technical issues, security incidents, or circumstances beyond our control.

12.2 Service Modifications

We reserve the right to:

  • Modify, suspend, or discontinue any part of the Service at any time
  • Change features, functionality, or availability of the Service
  • Update AI models, algorithms, or capabilities
  • Impose usage limits or restrictions

Notice of Material Changes: For significant changes that materially affect your use of the Service, we will provide at least 30 days' notice via email.

12.3 Beta Features

We may offer beta or experimental features. These features are provided "AS IS" and may be unstable, incomplete, or subject to change without notice. We make no warranties regarding beta features.

12.4 No Refunds for Service Changes

Service modifications, feature changes, or discontinuation do not entitle you to a refund unless we completely terminate the Service without providing a substantially similar alternative.

13. Account Termination

13.1 Termination by You

You may terminate your account at any time by canceling your subscription as described in Section 7.

13.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without notice, if:

  • You violate any provision of these Terms
  • You engage in fraudulent activity or payment disputes
  • We are required to do so by law
  • Your account remains inactive for an extended period
  • We decide to discontinue the Service

13.3 Effect of Termination

Upon termination:

  • Your access to the Service will be immediately revoked
  • Your subscription will be canceled (no refund for remaining time if terminated for violations)
  • Your encrypted conversation data may be retained for a limited period as described in our Privacy Policy
  • All provisions of these Terms that by their nature should survive termination will survive (including intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions)

13.4 No Refunds for Violations

If your account is terminated for violating these Terms, you forfeit any right to a refund, regardless of your token usage or remaining subscription time.

14. Disclaimers and Limitations of Liability

14.1 Service Provided "AS IS"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties of accuracy, reliability, or completeness of content
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding AI responses, accuracy, or appropriateness

14.2 AI Limitations

YOU ACKNOWLEDGE AND AGREE THAT:

  • AI-generated content may be inaccurate, inappropriate, or unexpected
  • AI assistants are simulations and not real people
  • AI responses should not be relied upon for important decisions
  • The Service is for entertainment and simulation purposes only

14.3 User Responsibility

You are solely responsible for:

  • Your use of the Service and any consequences thereof
  • Evaluating the accuracy and appropriateness of AI-generated content
  • Your interactions and any decisions based on those interactions
  • Maintaining the confidentiality of your account

14.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIGENTICS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

Indirect Damages: Any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

Direct Damages Cap: Any direct damages exceeding the amount you paid to us in the 12 months preceding the event giving rise to liability, or $100 USD, whichever is greater.

Exclusions: This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Covered Events: This limitation applies to damages arising from:

  • Use or inability to use the Service
  • Unauthorized access to your account or data
  • AI-generated content or interactions
  • Service interruptions, errors, or bugs
  • Third-party conduct or content
  • Any other matter relating to the Service

14.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless AIGENTICS LLC, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your violation of any rights of a third party
  • Content you create, share, or transmit through the Service
  • Your negligence or willful misconduct

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

16. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

16.1 Informal Resolution

Before initiating arbitration or legal proceedings, you agree to first contact us at support@companions.one to attempt to resolve the dispute informally. We will attempt to resolve the dispute through good faith negotiations for at least 30 days.

16.2 Binding Arbitration

If we cannot resolve a dispute informally, you and AIGENTICS LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service will be resolved through binding arbitration, except as provided in Section 16.5.

Arbitration Rules: Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at www.adr.org.

Arbitration Location: Arbitration will be conducted in Delaware or another mutually agreed location. If the dispute is for $10,000 or less, arbitration may be conducted via telephone, video conference, or based on written submissions at your option.

Arbitrator's Authority: The arbitrator will have exclusive authority to resolve all disputes, including the scope and enforceability of this arbitration provision. The arbitrator may award damages and relief only to you individually and only to the extent necessary to provide relief warranted by your individual claim.

Arbitration Fees: For disputes of $10,000 or less, AIGENTICS LLC will pay all AAA filing, administration, and arbitrator fees. For disputes over $10,000, fees will be allocated according to AAA rules.

Arbitrator's Decision: The arbitrator's decision is final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

16.3 Class Action Waiver

YOU AND AIGENTICS LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

This means:

  • No class arbitrations, class actions, or representative actions are permitted
  • The arbitrator may not consolidate multiple parties' claims
  • The arbitrator may not preside over any form of representative or class proceeding

16.4 Jury Trial Waiver

YOU AND AIGENTICS LLC WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR JURY. Instead, disputes will be resolved through arbitration as described above.

16.5 Exceptions to Arbitration

The following disputes are NOT subject to arbitration:

  • Disputes that qualify for small claims court (currently disputes under $10,000 in most jurisdictions)
  • Disputes seeking injunctive or equitable relief for intellectual property infringement
  • Disputes related to the validity, enforceability, or scope of this arbitration provision

16.6 Opt-Out Right

You have the right to opt-out of this arbitration provision. To opt-out, you must send written notice to support@companions.one within 30 days of first accepting these Terms. Your opt-out notice must include:

  • Your full name
  • Email address associated with your account
  • A clear statement that you wish to opt-out of the arbitration provision

If you opt-out, all other provisions of these Terms will still apply, but disputes will be resolved in court rather than arbitration.

16.7 Severability

If any portion of this arbitration provision is found to be unenforceable, the unenforceable portion will be severed, and the remaining arbitration terms will be enforced. However, if the class action waiver is found unenforceable, the entire arbitration provision will be unenforceable and disputes will be resolved in court.

17. Governing Law and Jurisdiction

17.1 Governing Law

These Terms and your use of the Service are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles.

17.2 Jurisdiction (for Non-Arbitrated Disputes)

For any disputes not subject to arbitration (including small claims court cases), you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware.

17.3 International Users

If you access the Service from outside the United States, you acknowledge that your information may be transferred to, stored, and processed in the United States, where data protection laws may differ from your jurisdiction.

18. Export Compliance

You may not use, export, or re-export the Service (or any copy or adaptation) in violation of applicable laws and regulations, including United States export control laws and regulations. You represent that you are not:

  • Located in a country subject to U.S. government embargo
  • Listed on any U.S. government list of prohibited or restricted parties
  • Using the Service for any prohibited end-use under U.S. export regulations

19. Force Majeure

We will not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, or pandemics
  • War, terrorism, civil unrest, or government actions
  • Internet or telecommunications failures
  • Power outages or equipment failures
  • Cyberattacks, hacking, or security breaches
  • Labor disputes or strikes

20. Entire Agreement and Severability

20.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AIGENTICS LLC regarding the Service and supersede all prior agreements, understandings, and communications.

20.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect to the maximum extent permitted by law.

20.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

21. Changes to Terms

We may modify these Terms at any time by posting the revised Terms on our website with an updated "Last Updated" date. For material changes, we will provide at least 30 days' notice via email.

Your Continued Use Constitutes Acceptance: Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.

23. Additional Provisions

23.1 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

23.2 Relationship of Parties

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and AIGENTICS LLC.

23.3 Third-Party Beneficiaries

These Terms are for the benefit of you and AIGENTICS LLC only and are not intended to benefit any third party.

23.4 English Language

These Terms are written in English. Any translations are provided for convenience only. In the event of any conflict between the English version and a translation, the English version will prevail.

By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
